RESOLUTION NO. 184
(Series of 2007)

A RESOLUTION AUTHORIZING THE CITY MAYOR HON. JAMES GORDON, JR. TO ENTER INTO A MEMORANDUM OF AGREEMENT WITH THE INTERNATIONAL FINANCE CORPORATION FOR ADVISORY SERVICES FOR THE PUBLIC UTILITIES DEPARTMENT

WHEREAS, the Olongapo City Government owns and operates the Public Utilities Department (PUD) which is in the business of providing the City with electric power;

WHEREAS, the PUD is experiencing business reverses, is mired in a huge debt and needs serious rehabilitation;

WHEREAS, the Olongapo City Government is considering private sector participation as a viable option for the PUD’s rehabilitation;

WHEREAS, the aim of the rehabilitation of PUD is the modernization, upgrading and expansion of the City-owned-and-operated electric power distribution system following a competitive bidding process prescribed by the Philippine Build-Operate-Transfer Law;

WHEREAS, an initial step to such rehabilitation is for the Olongapo City Government to engage in the services of an independent, competent and reputable advisor to guide the City Government through the process by the assessment, preparation, design and implementation of a viable transaction to attract private sector participation;

WHEREAS, the International Finance Corporation (a subsidiary of the World bank), an international organization established pursuant to the Articles of Agreement among its member countries, including the Republic of the Philippines, has submitted a proposal to assist the City in structuring and marketing a viable Private Sector Participation transaction for investors and undertaking a fair, transparent and competitive process for selecting a competent private sector proponent who will finance, upgrade, operate, maintain and expand the PUD;

WHEREAS, IFC is the private sector arm of the World bank Group with proven global and local experience and expertise in the area of PSP in infrastructure and public services, including the energy sector;

WHEREAS, the IFC will assist the City in transacting and clearing key policy and regulatory issues with the proper government regulatory bodies that would allow, among others, a private operator to efficiently carry out the concession for the rehabilitation and management of the power utility, including a strategy or the formulation of a long term solution for the payment of its debt with the National Power Corporation ( NAPOCOR);

WHEREAS, the Olongapo City Government has considered the services of the IFC, an institution established in 1956 which is the largest multilateral source of loan and equity financing for private sector projects in the developing world, the expertise of which is precisely the present need of the PUD, private sector investment to insure that the process of inviting private sector participation will be considered and pursued with caution, with utmost transparency and good faith whose aim is to benefit more than 40,000 consumers, expected to gain access to improved public services upon the realization of the goals of the rehabilitation process;

NOW, THEREFORE, on motion of Councilor John Carlos G. delos Reyes, with the unanimous accord of the Members of the Sangguniang Panlungsod present,

RESOLVED, AS IT IS HEREBY RESOLVED, by the Sangguniang Panlungsod in session assembled, to authorize, as it hereby authorizes the City Mayor Hon. James Gordon, Jr. to enter into a Memorandum of Agreement with the International Finance Corporation for Advisory Services for the Public Utilities Department.

A RESOLUTION CONVEYING SINCEREST GRATITUDE TO IBM, PHILIPPINES’ “BIG BLUE”, REPRESENTED BY MS. ANDREA ESCALONA, COUNTRY MARKETING MANAGER, MR. RENZO BELARDO, IBM, PHILIPPINES TERRITORY BUSINESS DEVELOPMENT MANAGER AND MS. TERESITA MEDADO, MANAGING DIRECTOR, APCTCI FOR THEIR DONATION OF KIDSMART COMPUTERS AND EDUCATIONAL SOFTWARE TO THE OLONGAPO CITY ELEMENTARY SCHOOL

WHEREAS, the country’s leading supplier of information technology hardware, software and services, International Business Machines (IBM) or “Big Blue” donated high-end personal computer units worth PhP250,000 to children in the Subic Bay area last October 26, 2007;

WHEREAS, in an endeavor to translate these advanced technologies into value for the younger populace, IBM handed over the KidSmart Young Explorer, a colorful computer station manufactured by Little Tikes and IBM;

WHEREAS, the high-tech kiddie equipment is not just loaded with award-winning educational software developed by The Learning Company, but includes a guide for pre-school and grade school teachers which shows how tutors can best use technology to enhance the learning capacities of their pupils;

WHEREAS, Olongapo City, for and on behalf of the Olongapo City Elementary School, is honored to be one of the recipients of the said educational computer station and appreciates such gesture from the IBM, Philippines for helping the said City school prime innovative and interactive teaching-learning activities towards better scholastic performance of its pre-schoolers and graders;

WHEREAS, the City treasures its blooming partnerships with corporations such as with IBM, Philippines on this regard, as a gateway for greater opportunities that will propel the City’s educational sector to greater heights;

NOW, THEREFORE, with the unanimous accord of the members of the Sangguniang Panlungsod present,

RESOLVED, AS IT IS HEREBY RESOLVED, by the Members of the Sangguniang Panlungsod is session assembled to, convey, as it hereby conveys sincerest gratitude to IBM, Philippines’ “Big Blue”, represented by Ms. Andrea Escalona, Country Marketing Manager, Mr. Renzo Belardo, IBM, Philippines Territory Business Development Manager and Ms. Teresita Medado, Managing Director, APCTCI for their donation of KidSmart computers and educational software to the Olongapo City Elementary School.

A RESOLUTION AUTHORIZING THE CITY MAYOR HON. JAMES GORDON, JR. TO ENTER INTO A MEMORANDUM OF AGREEMENT WITH ABOITIZ ENERGY SOLUTIONS, INC. FOR A POWER FACTOR ADJUSTMENT SAVINGS AND PROFIT SHARING PARTNERSHIP

WHEREAS, the Olongapo City Government is a customer of the National Transmission Corporation (TRANSCO) which provides Olongapo City with electric power requirements;

WHEREAS, TRANSCO imposes a power factor adjustment penalty or gives discounts to its customers, depending on the power factor;

WHEREAS, to avail of power factor discounts given by TRANSCO, the Olongapo City Government is required to install capacity banks (Devices);

WHEREAS, Aboitiz Energy Solutions, Inc. (AESI) has offered to provide, install, repair, replace and maintain Devices and other equipment that will improve the power factor of concerned delivery points of Olongapo City so that the City may avail and maximize the power factor discount;

WHEREAS, in consideration of such services, the Olongapo City Government agrees to pay Aboitiz Energy Solutions, Inc. 60 percent of the reduction in the power factor penalty or 60 percent of the power factor discount enjoyed by the Olongapo City Government resulting from an improvement in Olongapo City’s power factor;

WHEREAS, AESI shall turn over the ownership of the Devices installed to the Olongapo City Government after the expiration of this agreement;

WHEREAS, a memorandum of agreement between the Olongapo City Government and Aboitiz Energy Solutions, Inc. for a Power Factor improvement partnership is required to proceed with the power factor improvement project;

NOW, THEREFORE, on motion of Councilor John Carlos G. delos Reyes, with the unanimous accord of the Members of the Sangguniang Panlungsod present,

RESOLVED, AS IT IS HEREBY RESOLVED, by the Sangguniang Panlungsod in session assembled, to authorize, as it hereby authorizes the City Mayor Hon. A RESOLUTION AUTHORIZING THE HONORABLE CITY MAYOR JAMES GORDON, JR. TO ENTER INTO A MEMORANDUM OF AGREEMENT (MOA) BETWEEN THE CITY HEALTH OFFICE AND AMA COMPUTER COLLEGE, INC.-OLONGAPO CAMPUS REPRESENTED BY ITS SCHOOL DIRECTOR MR. RAUL T. DEL ROSARIO TO AFFILIATE WITH THE CITY’S BARANGAY HEALTH CENTERS AS TRAINING VENUES FOR THE SCHOOL’S NURSING AIDE, CAREGIVER AND PRACTICAL NURSING STUDENTS IN CONFORMITY TO THEIR COURSE REQUIREMENTS

WHEREAS, the City of Olongapo has consistently played a major part in worthwhile affiliations for the benefit of the City and its populace;

WHEREAS, the City of Olongapo has always been in the forefront of realizing its various resources’ maximum potentials, consequently generating income for the City and its various projects;

WHEREAS, AMA Computer College, Inc. as represented by its School Director Mr. Raul T. del Rosario has expressed its earnest intention to affiliate with the City through the City Health Office for the training of its Nursing Aide, Caregiver and Practical Nursing Students in fulfillment of their course requirements;

WHEREAS, the City’s Barangay Health Centers are considered apt venues for the said training and shall allow the students to apply their education and skills for the benefit of all Barangay residents;

WHEREAS, AMA Computer College, Inc.- Olongapo Campus accedes to disburse to the City an Affiliation Fee with an amount based on Administrative Order No. 5-A of the Department of Health;

WHEREAS, cognizant of the benefits of the proposed affiliation, this august body considers it essential to bestow authority to the Local Chief Executive to partake in such undertaking;

NOW, THEREFORE, on the joint motion of Councilors Angelito W. Baloy and John Carlos G. delos Reyes, with the unanimous accord of the Members of the Sangguniang Panlungsod present,

RESOLVED, AS IT IS HEREBY RESOLVED, by the Sangguniang Panlungsod in session assembled, to authorize, as it hereby authorizes the Honorable City Mayor James Gordon, Jr. to enter into a Memorandum of Agreement (MOA) between the City Health Office and AMA Computer College, Inc.-Olongapo Campus represented by its School Director Mr. Raul T. del Rosario to affiliate with the City’s Barangay Health Centers as training venues for the School’s Nursing Aide, Caregiver and Practical Nursing students in conformity to their course requirements.

Let a copy of the Memorandum of Agreement form an integral part of this resolution and let the City Health Office be furnished a copy of this resolution for their information and guidance

Reading and Adoption of Minutes

On motion of Councilor Gina G. Perez, the body approved the Minutes of the Regular Session dated September 26, 2007. However, Councilor Anselmo A. Aquino mentioned that he was absent that time. He is declining to be part of its approval and was affirmed by the Presiding Officer.

7. Letter for the Sangguniang Panlungsod ng Olongapo issued by Most Rev. Deogracias Iniguez, D.D. Bishop, Diocese of Kaloocan and Antonio Tujan, Jr. Director, IBON International both of the Philippine Transparency and Accountability Council (PTAC). According to the letter, PTAC is an Independent People’s Council and they are inviting this Body, the Sangguniang Panlungsod of Olongapo, to a Conference on Ethical Governance on November 23, 2007, from 8:00 AM – 5:00 PM at the Penthouse, UP Law Center, Quezon City. Most Rev. Luis Antonio Tagle, Bishop of the Diocese of Imus will be the keynote speaker and workshop will follow in the afternoon.

This is a gathering of non – partisan and independent minded individuals acting as a point of initiative to create public focus on the issue of corruption. It also aims to promote the people’s call for genuine democratic governance as the long lasting solution to this problem. The conference aims to gather individuals, sectors, organizations and groups to come up with systemic and endemic solution to the problem of graft and corruption which continuously reaches an alarming proportion. It is a big challenge to us Filipinos to take a decisive and sustained action it said. Committee Reports

Councilor Perez informed the body about the invitation extended by the City Mayor Bong Gordon to attend the opening of the 20th Philippine Advertising Congress. The Mayor would be assisting in the ribbon cutting together with Mr. Gokongwei. The event will start at 5:00 pm. The following day, a parade will be featured as a Grand Welcome Salvo for the delegates of the Ad Congress. The whole event will be aired at Channel 2.

Councilor Dabu also informed everyone about the opening and inauguration of the Pag-asa Market Food Court held yesterday and announced the big change in its set-up.

6. Councilor Gie Baloy moved for the approval of Draft Resolution No. 2007 – R–91 – “A Resolution Authorizing The Honorable City Mayor James Gordon, Jr. To Enter Into A Memorandum Of Agreement (MOA) Between The City Health Office And AMA Computer College, Inc.-Olongapo Campus Represented By Its School Director Mr. Raul T. Del Rosario To Affiliate With The City’s Barangay Health Centers As Training Venues For The School’s Nursing Aide, Caregiver And Practical Nursing Students In Conformity To Their Course Requirements”.

To answer some queries from Councilor Cortez, the Councilor informed the body that the students will be paying the City PhP60.00 per student and they will be receiving certifications aside from the accreditation. They will be assisted by their own instructors aside from the health workers. Their training will last for one year and will be serving under OJT.

With no other observations, the above-mentioned Draft Resolution was approved unanimously.

7. On motion of Councilor Marzan, Draft Ordinance No. 2007 – O–45 – “An Ordinance Appropriating The Amount Of Ninety Nine Thousand Eight Hundred Fifty Two Pesos And Twenty Four Centavos (PhP99,852.24) To Be Taken From The Unappropriated Balance Of The General Fund Made Available To The Personal Services Of The Office Of The Sangguniang Panlungsod”, was deferred by the body pending a certificate of availability of funds.

8. Councilor Marzan moved to approve Draft Ordinance No. 2007 – O-46 – “An Ordinance Appropriating The Amount Of Two Hundred Fifty Thousand Pesos (PhP250,000.00) To The Items Under The Maintenance And Other Operating Expenses Of The Office Of The City Prosecution To Be Taken From Reversion Of Fund From Savings In The Items Under Personal Services”. Savings were noted, since the funds had been budgeted for the two plantilla positions, which were still unfilled. This request then is not considered as an appropriation from the unappropriated balance, but merely a reversion from their savings. For this, a certificate of availability of funds is no longer needed but only the pertinent letter request as integral part.

Since these positions are not yet filled-up, Councilor Aquino suggested that the said positions be scrapped instead. The proponent agreed and stated that all concerns will be taken to consideration in the next budget hearing this coming December. After the discussion, the said Draft Ordinance was approved unanimously.

3. Councilor delos Reyes moved to approve, Draft Resolution No. 2007 – R-103 – A Resolution Authorizing The City Mayor Hon. James Gordon, Jr. To Enter Into A Memorandum Of Agreement With The International Finance Corporation For Advisory Services For The Public Utilities Department. At the request of Councilor Lipumano, the proponent explained that this agreement is all about the plan to rehabilitate the system within the PUD with the possibility of getting into a private partnership. But, it needs to make the department more attractive to prospective investors. With a little research done, he learned about the expertise that the International Finance Corporation provides to entities that are experiencing business reverses. According to Councilor delos Reyes IFC was established in 1956 and known to be the largest multilateral source of loan and equity financing for private sector projects in developing world and is a subsidiary of the World Bank. This can guarantee transparency in dealing with them and ensure that the partnership with the city will be acceptable to the people.

4.
