A RESOLUTION APPROVING THE CAPITAL EXPENDITURE PROGRAM OF THE PUBLIC UTILITIES DEPARTMENT AND THE FILING OF AN APPLICATION FOR ITS APPROVAL WITH THE ENERGY REGULATORY COMMISSION IN CONNECTION WITH THE SALE AND MODERNIZATION OF THE CITY’S ELECTRIC DISTRIBUTION SYSTEM

WHEREAS, the Energy Regulatory Commission, pursuant to the Electric Power Industry Reform Act (EPIRA) and ERC Resolution No. 26, Series of 2009, requires all distribution utilities to submit their capital expenditure programs for the approval of the Commission;

WHEREAS, a capital expenditure program for the PUD has been prepared consistent with the rules of the ERC in connection with the sale and modernization of the City’s electric distribution system;

WHEREAS, under the general terms of the sale, the capital expenditure program will be financed and implemented in phases by the winning bidder or the new owner/operator of the distribution utility;

WHEREAS, to ensure compliance with the applicable rules and regulations of the ERC and the smooth implementation of needed improvements and rehabilitation works on the City’s electric distribution system, there is a need to approve the capital expenditure program and submit an application for its approval to the ERC.

NOW, THEREFORE, on motion of City Councilor Gina G. Perez, co-sponsored by City Councilors Rodel S. Cerezo, Edwin J. Piano, Aquilino Y. Cortez, Jr., Anselmo A. Aquino, Elena C. Dabu, Audie S. Sundiam and Cheenee F. Hoya, with the unanimous accord of the Members of the Sangguniang Panlungsod present,

RESOLVED, AS IT IS HEREBY RESOLVED, by the Sangguniang Panlungsod in session assembled that the capital expenditure program for the Public Utilities Department entitled “Determination of Capital Expenditure Requirement for Olongapo PUD Distribution System” dated 14 August 2009 is hereby approved.

RESOLVED FURTHER, AS IT HEREBY FURTHER RESOLVED, that the City Mayor, through the City Legal Officer, is hereby authorized to prepare and submit an application to the Energy Regulatory Commission seeking the approval of such capital expenditure program.

Let the City Mayor’s indorsement on this matter be made as an integral part of this Resolution.

A RESOLUTION AUTHORIZING HON. MAYOR JAMES GORDON, JR. TO ENTER INTO A TRANSMISSION SERVICE AGREEMENT (TSA) FOR AND ON BEHALF OF THE LOCAL GOVERNMENT UNIT OF OLONGAPO CITY AND THE NATIONAL GRID CORPORATION OF THE PHILIPPINES REPRESENTED BY ITS CEO/PRESIDENT, MR. WALTER W. BROWN

WHEREAS, Olongapo City has submitted an application for transmission service as regards to its electric power;

WHEREAS, through a public bidding conducted by the Power Sector Assets And Liabilities Management (PSALM) Corporation, pursuant to Sec. 21 of the Electric Power Industry Reform Act (EPIRA LAW R.A. NO. 9136), the winning consortium, which was incorporated as the National Grid Corporation Of The Philippines (NGCP) was awarded the concession contract to construct, install, finance, manage, improve, expand, operate, maintain, rehabilitate, repair and refurbish the transmission assets of TRANSCO;

WHEREAS, the city deems it indispensable to avail of the continued transmission services of the Olongapo City Government – Public Utilities Department (OC-PUD).

NOW, THEREFORE, on motion of City Councilor Jonathan G. Manalo with the unanimous accord of the Members of the Sangguniang Panlungsod present;

RESOLVED, AS IT IS HEREBY RESOLVED, by the Sangguniang Panlungsod in session assembled to authorize, as it hereby authorizes the Hon. WHEREAS, in the year 2000, there is a recognized public need to rehabilitate, expand and modernize the operations of the City’s Public Utilities Department (PUD), while addressing its fiscal concerns, in order to sufficiently address the growing public demand for reliable and efficient electric services;

WHEREAS, there are standing operative City Council resolutions which mandate the implementation of a rational program for PUD’s modernization through privatization or by way of private sector participation, either through divestment/sale or Build-Operate-Transfer (BOT) arrangements;

WHEREAS, existing and operative City Council resolutions evince that private sector participation to increase the professional operation and to enhance the efficiency of PUD is indispensable and thus, has long been an approved initiative;

WHEREAS, there is a need to take measures to implement the modernization of PUD with private sector participation, with public welfare and protection as the primary guiding principle;

WHEREAS, it shall be insured that all terms and conditions in connection with any modernization and or privatization shall be favourable and beneficial to the City;

NOW, THEREFORE, on motion of Councilor Jonathan G. Manalo, with the majority decision of the Members of the Sangguniang Panlungsod present,

ORDINANCE NO. 25

AN ORDINANCE SANCTIONING THE MODERNIZATION AND PROFESSIONALIZATION OF THE PUBLIC UTILITIES DEPARTMENT (PUD) THROUGH PRIVATIZATION BY WAY OF PRIVATE SECTOR PARTICIPATION THROUGH DIVESTMENT/SALE OR BUILD-OPERATE-TRANSFER (BOT) ARRANGEMENTS


SECTION 1. TITLE - This ordinance shall be known as “An Ordinance Sanctioning The Modernization And Professionalization Of The Public Utilities Department (PUD) Through Privatization By Way Of Private Sector Participation Through Divestment/Sale Or Build-Operate- Transfer (BOT) Arrangements.”

SECTION 2. MANNER / MODE OF MODERNIZATION – It shall be ensured that the manner and mode of modernization and professionalization of the Public Utilities Department by way of Private Sector Participation through Divestment/Sale or Build-Operate-Transfer (BOT) shall be effected with due consideration to and in compliance with the pertinent laws, rules and regulations, including but not limited to the Department of Finance (DOF) and the Commission on Audit (COA) issuances.

It shall also be ensured that the terms and conditions for the modernization of the PUD shall first be subject to review and approval of the Legislative Council to ensure that the same, if made, be in the best interests of public welfare.

SECTION 3. EFFECTIVITY - This ordinance shall be effective after due publication on newspaper of general circulation in Olongapo City and posting for a period of fifteen (15) days in at least three (3)conspicuous public places in the City.

WHEREAS, a number of cases of suspects were caught and apprehended by the Public Utilities Department involved in Blatant Violation of Republic Act. No. 7832 otherwise known as the “Electricity Anti- Pilferage Act”;

WHEREAS, under Republic Act No. 7160 (The Local Government Code Of 1991), the City is vested with corporate powers including the power to sue and be sued;

WHEREAS, with Olongapo losing millions of pesos to this kind of illegal act, the city deems it best to prosecute the offenders in court; with the recommendation of its Legal Department;

NOW, THEREFORE, on motion of Councilor Jonathan G. Manalo, with the unanimous accord of the Members of Sangguniang Panlungsod present.

RESOLVED, AS IT IS HEREBY RESOLVED, by the Sangguniang Panlungsod in session assembled to authorize, as it hereby authorizes Mr. Ramon Dasig Balagtas, Administrative V, Public Utilities Department, to represent the City Government of Olongapo Public Utilities Department in the Prosecution of criminal cases before the City Prosecutor’s Office and the Trial Courts, and to appear before the same.

RESOLVED FURTHER, AS IT HEREBY FURTHER RESOLVED, that Mr. Ramon Dasig Balagtas is hereby given full power and authority to do and perform all acts and things whatsoever requisite and necessary to be done in and about the premises as fully to all intents and purpose for and in the name of the City.

A RESOLUTION AUTHORIZING THE HONORABLE CITY MAYOR TO SPEARHEAD A STUDY FOR THE VALUATION OF THE SHARES OF THE CITY IN SUBICWATER, INC. AND TO EVENTUALLY ENGAGE THE SERVICES OF A REPUTABLE APPRAISER FOR THE VALUATION OF SHARES SUBJECT TO EXISTING LAWS

WHEREAS, the City of Olongapo has always been in the forefront of innovative and best practices of local government units in the Philippines;

WHEREAS, the City of Olongapo has consistently garnered awards from reputable organizations in view of the fiscal management and efficient exercise of proprietary and governmental functions for the benefit of Olongapenos;

WHEREAS, the City of Olongapo has taken steps to protect the interests of its constituents in the operation and management of public utilities particularly water distribution;

WHEREAS, there is a need to immediately place a pecuniary value on the shares held by the Olongapo City Government at Subicwater, Inc. to assess the options of the City;

WHEREAS, Subic Bay Metropolitan Authority already passed a Resolution to study the privatization of Subicwater, Inc. and appraise the value of their shares;

WHEREAS, the City of Olongapo will save taxpayers money in case it will join Subic Bay Metropolitan Authority in having the value of its shares appraised.

NOW, THEREFORE, on motion of Councilor Aquilino Y. Cortez, Jr. with the majority decision of the Members of Sangguniang Panlungsod present;

RESOLVED, AS IT IS HEREBY RESOLVED, by the members of the Sangguniang Panlungsod in session assembled authorizes, as it hereby authorizes, the Honorable City Mayor to study the privatization of Subicwater, Inc. in tandem with Subic Bay Metropolitan Authority and to engage the services of a reputable appraiser for the valuation of Subicwater shares held by Olongapo City.

AN ORDINANCE APPROPRIATING THE AMOUNT OF THIRTY MILLION PESOS (PHP30,000,000.00) TO THE ITEM CAPITAL OUTLAY OF THE PUBLIC UTILITY FROM THE UNAPPROPRIATED SURPLUS OF THE GENERAL FUND TO FINANCE THE CONTINUING REHABILITATION AND MAINTENANCE PROGRAM OF THE SAID DEPARTMENT.

BE IT ORDAINED, BY THE SANGGUNIANG PANLUNGSOD IN SESSION ASSEMBLED, THAT:

SECTION 1. The amount of Thirty Million Pesos (PhP30,000,000.00) is hereby appropriated from the Unappropriated Surplus Of The General Fund to the Item Capital Outlay of the Public Utility to finance the continuing rehabilitation and maintenance program of the said department and shall be obligated as follows:

Primary & Secondary Distribution Network PhP13,500,000.00
Substation Operations Control & Protection 7,500,000.00
Revenue Metering Standardization 5,000,000.00
Sub-transmission Rehabilitation 4,000,000.00
PhP30,000,000.00

The details of this project through the Annual Work Plan (2007-2008) shall be made as integral part of this Ordinance. Furthermore, the approved appropriations shall not be realigned without the prior approval of the City Council.

Appropriation for the above stated capital outlay shall continue and remain valid until fully spent or the project is likewise completed.

SECTION 2. The pertinent letter request of PUD General Manager Engr. Luisito M Lopez to the Hon. Mayor James Gordon, Jr., dated 10 August 2007, and request letter of City Mayor James Gordon Jr. dated 11 September 2007 is hereby made as integral part of this Ordinance.

SECTION 3. This ordinance shall be subject to the usual accounting and auditing rules and regulations.
