A RESOLUTION CONFIRMING THE
NOTICE OF AWARD GRANTED TO
SM PRIME HOLDING CORPORATION
FOR THE LONG TERM LEASE
AND DEVELOPMENT OF THE KBG
COMPLEX ALSO KNOWN AS
“OLONGAPO CIVIC CENTER COMPLEX”
IN CONNECTION
WITH THE UNSOLICITED PROPOSAL
SUBMITTED
TO THE CITY GOVERNMENT OF
OLONGAPO
WHEREAS,
on January 8, 2014, the City Government of Olongapo received an unsolicited
proposal from SM Prime Holdings Inc. (SMPHI) for the long term lease and development
of KBG Complex also known as Olongapo Civic Center Complex located at Barangay
East Tapinac, Olongapo City, Philippines;
WHEREAS,
under Section 18 of Republic Act No. 7160 otherwise known as the Local
Government Code of 1991, the City Government of Olongapo has the power, among
others, to acquire, develop, lease, encumber, alienate or otherwise dispose of
real p roperties held by it in its proprietary capacity;
WHEREAS,
on March 13, 2014, Mayor Rolen C. Paulino issued an Executive Order No. 12, Series of 2014 creating the
Technical/Management Committee for the purpose of ascertaining, reviewing and
studying the terms and conditions of the unsolicited proposal;
WHEREAS,
the Sangguniang Panlungsod of
Olongapo passed Resolution No. 39,
Series of 2014 on April 3, 2014
authorizing the City Mayor Rolen C. Paulino to negotiate with any reputable
individual or company for the development of properties owned by the City of
Olongapo;
WHEREAS,
the Sangguniang Panlungsod of
Olongapo passed Resolution No.
49, Series of 2014 on April 23, 2014 accepting the unsolicited
proposal of SM Prime Holding Inc. for the long term lease over the Olongapo
City Property located at Barangay East Tapinac and Dela Cruz Drive and
approving the competitive challenge as the legal mode of awarding the long term
lease contract and development of said properties;
WHEREAS,
on June 5, 2014, SM Prime Holdings, Inc. submitted the documents in support
of its original unsolicited proposal;
WHEREAS,
series of negotiations were conducted between the created
Technical/Management Committee and SM Prime Holdings Inc.;
WHEREAS,
on June 17, 2014 the Technical/Management
Committee and representatives of SM Prime Holdings Inc. successfully concluded
the negotiations with respect to the final terms and conditions of SM Prime
Holdings, Inc.’s unsolicited proposal that will be used in the drafting of the
Terms of Reference (TOR) for the conduct
of public bidding for comparative proposals and the drafting of the Lease
Agreement for the development and long term lease of the KBG Complex also know
as Olongapo Civic Center Complex;
WHEREAS,
on August 1, 2014, the City Government of Olongapo received the written
final unsolicited proposal of SM Prime Holdings Inc.;
WHEREAS,
on August 4, 2014, City Mayor Rolen C. Paulino issued a Certificate of Successful Negotiation for the approval of
the terms ands conditions that will be set forth in the Terms of Reference and
draft Lease Agreement that will be used in the conduct of the Swiss Challenge
or Comparative Proposal for the awarding of the development and long term lease
of KBG Complex also known as Olongapo Civic Center Complex;
WHEREAS,
the Sangguniang Panlungsod passed Resolution Nos. 125 and 126, Series of
2014 on August 28, 2014 confirming the
creation of the Special Bids and Awards Committee and approving the Terms of
Reference, guidelines and schedule of activities relative to the Swiss
Challenge/Comparative Proposal Method for the development and long term lease
of KBG Complex also known as Olongapo Civic Center Complex;
WHEREAS,
the Sangguniang Panlungsod passed Resolution No. 134, Series of 2014 dated
September 23, 2014 authorizing the City Mayor Rolen C. Paulino to enter into
and sign the contract of lease agreement
with the winning bidder relative to the proposal for the development and long
term lease of the KBG Complex also known as “Olongapo Civic Center Complex”;
WHEREAS,
the Special Bids and Awards Committee caused the publication of the
Invitation to Bid in national and local newspaper namely, Malaya Publishing and
Pahayagang Pangmasa, on October 6, 13 and 20, 2014. The Invitation to Bid was
also posted at the City Government of Olongapo website and at three (3)
conspicuous places;
WHEREAS,
on October 27, 2014, the deadline for the submission of Letter of Intent
and acquisition of the Terms of Reference lapsed;
WHEREAS,
no bidder/comparative proponent signified an interest to submit its Letter
of Intent and to purchase the Terms of Reference for the long term lease and
development of the KBG Complex also known as Olongapo Civic Center Complex
within the October 27, 2014 deadline;
WHEREAS,
on October 30, 2014 the Special Bids and Awards Committee created pursuant
to the resolutions of Sangguniang Panlungsod Nos. 125 and 126, Series of 2014
issued resolution reporting the results of the invitation to submit Bids and
Comparative Proposal for the long term lease and development of the KBG Complex
also known as “Olongapo Civic Center Complex” in connection with the
consolidated proposal of SM Prime Holding Inc. to the City Government of
Olongapo;
NOW,
THEREFORE, on motion of City Councilors Aquilino Y. Cortez, Elena C. Dabu,
Eduardo G. Guerrero, Benjamin G. Cajudo II, Noel Y. Atienza, Alreuela M.
Bundang-Ortiz, Edna Elane, Emeritu Linus D. Bacay, Randy C. Sionzon and Egmidio
M. Gonzales, Jr. with the majority
decision of the Members of the Sangguniang Panlungsod present,
RESOLVED,
AS IT IS HEREBY RESOLVED, by the
Sangguniang Panlungsod in session assembled, to confirm as it hereby
confirms the Notice of Award granted to SM Prime Holdings, Inc. for the long
term lease and development of the KBG Complex also known as “Olongapo Civic
Center Complex” in connection with the unsolicited proposal submitted to the
City Government of Olongapo.
